Terms of Service

1. Who May Use the Services

You may use Susty’s services, mobile and web applications, and related features (collectively, the “Services”) only if you agree to form a binding contract with us and are not a person barred from receiving services under the laws of the applicable jurisdiction. You must be at least 13 years of age to use the Services. By creating an account or otherwise accessing the Services — which constitutes acceptance of these Terms — you represent and warrant that you meet all eligibility requirements set forth herein.

If you are accepting these Terms on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to bind that entity, and “you” and “your” shall refer to that entity. If you are accepting these Terms on behalf of a minor under your parental or guardian authority, you represent that you have the authority to do so and accept responsibility for the minor’s compliance.

These Terms are a legally binding User Agreement between you and Susty, Inc. (“Susty,” “we,” “us,” or “our”), a company incorporated under the laws of Wisconsin, with its principal place of business at N2449 570th Street, Menomonie, WI 54751. The words “we,” “us,” and “our” mean Susty, Inc.

2. The Services

Susty is a social community platform centered on sustainability. The Services enable you to create a profile and share posts, photos, and stories related to your sustainability journey; follow, interact with, and send direct messages to other users; discover and participate in sustainability communities, group challenges, and local events; and access sustainability-focused content curated by Susty and contributed by the community (collectively, the “Services”).

The Services evolve constantly. At our sole discretion, we may stop (permanently or temporarily) providing the Services or any feature within the Services to you or to users generally; create limits on use and storage; remove or refuse to distribute any content; limit the distribution or visibility of any content; suspend or terminate users; and reclaim usernames — all without liability to you. We will make reasonable efforts to notify you of material changes to the Services.

Informational nature of sustainability content. Sustainability tips, eco-impact information, challenge metrics, and similar content provided through the Services are for informational and community engagement purposes only. They do not constitute professional environmental consulting, scientific certification, or regulatory compliance advice, and you should not rely on them for legal, regulatory, or compliance purposes. Susty makes no representations as to the accuracy of third-party environmental statistics referenced through the Services.

3. Your Account

Registration and Security

You may create an account using an email address and password, or through a supported third-party identity provider (currently Google and Apple — see Section 4 below). You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to: use a strong, unique password; enable two-factor authentication where offered; and notify Susty immediately at legal@susty.app upon becoming aware of any unauthorized access or use of your account. Susty is not liable for any loss or damage arising from your failure to protect your account credentials.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You may not create more than one personal account, impersonate any person or entity, or choose a username that is misleading, offensive, or violates any third party’s rights.

Communications

We may send you service announcements, security notices, and other account-related messages that are considered essential parts of the Services and from which you may not opt out. For non-essential communications — including newsletters, platform updates, and community digests — you may manage your preferences in your account settings or by clicking the unsubscribe link in any such message. If you provided a phone number to your account and later change or deactivate it, you must promptly update your account information to prevent us from contacting whoever acquires your old number.

4. Third-Party Login (Google, Apple)

Susty offers the option to register and log in using your existing Google or Apple account (“SSO Providers”). When you use an SSO Provider to access Susty, you authorize that provider to share certain information with us — typically your name and email address — as permitted by your settings with that provider. We do not receive your SSO Provider password. Your use of Google or Apple login is subject to those providers’ respective Terms of Service and Privacy Policies, which are independent of these Terms and over which Susty has no control.

By connecting an SSO Provider to your Susty account, you represent that you are authorized to use that SSO Provider account and that connecting it to Susty does not violate any agreement you have with that provider. You may disconnect a linked SSO Provider from your Susty account at any time through your account settings; however, if SSO is your only login method, you must first add an email/password to avoid losing access.

5. Content on the Services

Your Responsibility

You are responsible for all content — including posts, photos, images, captions, comments, reactions, direct messages, and any other materials — that you submit, post, upload, display, or otherwise make available through the Services (“User Content”), including compliance with all applicable federal, state, and local laws, rules, and regulations. Only share content you have the legal right to share and are comfortable sharing with others.

Susty does not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content posted via the Services. You understand that by using the Services you may be exposed to content that is offensive, harmful, inaccurate, or otherwise objectionable. All User Content is the sole responsibility of the person or entity that originated it. We may not monitor or control all User Content posted via the Services and cannot take responsibility for such content.

Ownership and License to Susty

You retain all rights, title, and ownership in and to your User Content. What’s yours is yours — your posts and photos remain yours.

By submitting, posting, or displaying User Content on or through the Services, you grant Susty a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, upload, download, and distribute such User Content in any and all media or distribution methods now known or later developed, solely for purposes of: (i) operating, providing, and improving the Services; (ii) displaying your User Content to other users in accordance with your privacy settings; (iii) promoting the Services and the Susty community, including in marketing materials on or off the platform, subject to your opt-out rights described in our Privacy Policy; and (iv) analyzing engagement patterns to improve platform features. This license does not grant Susty the right to sell your User Content as a standalone asset to third parties.

You represent and warrant that: (a) you own or have obtained all rights necessary to grant the above license for any User Content you submit; (b) your User Content does not infringe any third-party copyright, trademark, privacy, or publicity right; and (c) your User Content does not violate any applicable law or these Terms.

Content Susty May Remove

We reserve the right — but not the obligation — to review, monitor, remove, refuse to distribute, or restrict access to any User Content we reasonably believe violates these Terms, our Community Guidelines, or applicable law, including content that is unlawful, defamatory, harassing, fraudulent, obscene, or that infringes intellectual property or privacy rights. We reserve the right to take enforcement action without prior notice where circumstances require, though we will generally attempt to notify you of significant actions against your account or content.

If you believe your content was removed in error, you may submit an appeal to legal@susty.app within 30 days of the action.

Copyright Infringement — DMCA

If you believe your copyrighted work has been reproduced on the Services in a way that constitutes infringement, please contact our designated copyright agent:

Your notice must include: (i) a physical or electronic signature of the copyright owner or authorized agent; (ii) identification of the allegedly infringed work; (iii) identification of the infringing material and its location on the Services; (iv) your contact information; (v) a good-faith statement that the use is unauthorized; and (vi) a statement of accuracy under penalty of perjury. We will respond to valid notices in accordance with applicable law and may terminate accounts of repeat infringers.

6. Acceptable Use of the Services

You agree to use the Services only for lawful purposes and in strict compliance with these Terms and our Community Guidelines. You agree that you will not, under any circumstances:

• Post or share User Content that is false, fraudulent, misleading, defamatory, harassing, abusive, threatening, hateful, obscene, or otherwise objectionable;
• Post User Content that infringes any third-party copyright, trademark, patent, trade secret, right of publicity, or privacy right;
• Impersonate any person or entity, or misrepresent your affiliation with any person, entity, brand, or organization;
• Access, tamper with, or use non-public areas of the Services, Susty’s computer systems, or the technical delivery systems of our providers;
• Access or search the Services by any means other than our currently available published interfaces, including without limitation automated means, scrapers, crawlers, or bots — crawling or scraping the Services in any form without prior written consent is expressly prohibited;
• Probe, scan, or test the vulnerability of any system or network, or breach or circumvent any security or authentication measures;
• Reverse engineer, decompile, or disassemble any software component of the Services except as expressly permitted by applicable law;
• Collect or harvest personally identifiable information about other users without their express consent;
• Send unsolicited or unauthorized advertising, promotional materials, spam, chain letters, or pyramid schemes to other users;
• Falsify your location or use location-spoofing tools to manipulate location-based features of the Services;
• Post greenwashing content, fabricated sustainability claims, or false environmental data with intent to deceive other users;
• Interfere with or disrupt the Services, including by sending viruses, overloading, flooding, mail-bombing, or scripting content creation in a manner that creates undue burden on the platform;
• Facilitate or assist others in violating these Terms.

Enforcement actions for violations may include content removal, warnings, temporary suspension, permanent account termination, and referral to law enforcement authorities. You may appeal enforcement decisions at legal@susty.app.

7. Location-Based Features

Certain features of the Services — including discovery of local sustainability events, nearby eco-friendly businesses, and users in your area — use your device’s geolocation. Precise location access requires your explicit permission, which you may grant or revoke at any time through your device’s operating system settings (iOS: Settings → Privacy & Security → Location Services; Android: Settings → Location → App Permissions) or through the Susty app settings. Revoking location access disables location-based features but does not affect your ability to use the core platform.

Independent of device-level location permission, we may infer your approximate location (city or region level) from your IP address for purposes such as surfacing locally relevant content. This inference cannot be disabled without the use of a VPN or similar tool. Full details of how we collect and use location data are set forth in our Privacy Policy.

8. Your License to Use the Services; Intellectual Property

Subject to your compliance with these Terms, Susty grants you a limited, personal, worldwide, royalty-free, non-assignable, non-sublicensable, and non-exclusive license to access and use the Services and the Susty software solely for your personal, non-commercial purposes, in the manner permitted by these Terms. This license may not be transferred, assigned, gifted, sold, shared, or sublicensed without Susty’s prior written consent.

The Services — including all software, text, graphics, logos, icons, images, audio, digital downloads, and data compilations — are owned by Susty or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use the Susty name, trademarks, logos, domain names, or other distinctive brand features.

Any feedback, ideas, comments, or suggestions you voluntarily provide regarding the Services (“Feedback”) is entirely voluntary and non-confidential. You grant Susty a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, modify, and commercialize such Feedback for any purpose without compensation or attribution to you.

9. Disclaimers and Limitations of Liability

Services Provided “As Is”

YOUR ACCESS TO AND USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SUSTY AND ITS PARENTS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS (THE “SUSTY ENTITIES”) EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE SUSTY ENTITIES MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS; BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION — WHETHER ORAL OR WRITTEN — OBTAINED FROM THE SUSTY ENTITIES OR THROUGH THE SERVICES CREATES ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SUSTY ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM: (I) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY ON THE SERVICES, INCLUDING DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT; (III) ANY CONTENT OBTAINED FROM THE SERVICES; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE SUSTY ENTITIES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNTS PAID BY YOU TO SUSTY IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM. THESE LIMITATIONS APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED IN WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.

Indemnification

You agree to defend, indemnify, and hold harmless the Susty Entities from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses — including reasonable attorneys’ fees — arising out of or relating to: (i) your use of the Services; (ii) your User Content; (iii) your violation of these Terms or our Community Guidelines; (iv) your violation of any third-party right, including any intellectual property, privacy, or right of publicity; or (v) any claim that your User Content caused damage to a third party.

10. Termination

You may end your agreement with Susty at any time by deactivating your account and discontinuing use of the Services. Deactivation instructions are available in your account settings or by contacting support@susty.app.

Susty may suspend or terminate your account or your access to all or part of the Services at any time, with or without notice, if we reasonably believe: (i) you have violated these Terms or our Community Guidelines; (ii) your account or conduct creates risk or legal exposure for Susty or our users; (iii) your account should be removed due to unlawful conduct; (iv) your account has been inactive for a prolonged period; or (v) our provision of the Services to you is no longer commercially viable. To the extent permitted by applicable law, we may also terminate your account for any other reason at our convenience. We will make reasonable efforts to notify you by the email address associated with your account or the next time you attempt to access your account, depending on the circumstances.

Upon termination, your license to use the Services ends immediately. Sections 5, 6, 8, 9, 10, and 11 survive termination. If you believe your account was terminated in error, you may appeal within 30 days at appeals@susty.app.

11. General

Modifications to Terms

We may revise these Terms from time to time. We will provide at least 30 days’ advance notice of material changes via a notice within the Services or by email, except where changes are required to address new functionality, security issues, or legal requirements. The most current version will always be available at susty.app/terms. Continued use of the Services after any revision becomes effective constitutes your agreement to the revised Terms.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict-of-law principles. Any legal proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Eau Claire County, Eau Claire, WI and you consent to personal jurisdiction in those courts and waive any objection based on inconvenient forum.

Dispute Limitation Period and Class Action Waiver

You and Susty agree that any claim or cause of action arising from these Terms or the Services must be initiated within one (1) year after the cause of action arose; otherwise it is permanently barred to the extent permitted by applicable law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SUSTY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. No court may consolidate more than one person’s claims with your claims or preside over any representative proceeding without prior written consent of both parties.

Entire Agreement; Miscellaneous

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Susty regarding the Services and supersede all prior agreements and understandings. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary and the remaining provisions remain in effect. Susty’s failure to enforce any right or provision is not a waiver. You may not assign your rights under these Terms without Susty’s prior written consent; Susty may freely assign its rights.
